We want our Terms of Sale to be readily available to our customers so expectations of what we will do as a minimum are known when a transaction takes place. Here is the document contents, which is also available for download here:
STANDARD TERMS OF SALE
Spotter Controls, Inc., hereafter referred to as Spotter, warranties items sold by it against defects of material and/or workmanship for a period of one (1) year from the date of shipment. Spotter’s sole liability shall be to repair at its factory or replace any material returned to it within one (1) year from date of shipment.
Spotter’s responsibility does not cover defects resulting from improper installation or improper use. Any statement, description or specification in Spotter’s literature is for the sole purpose of identification of items and imparts no warranty or undertaking by Spotter of any kind. Spotter shall not be liable for economic loss, property damage or physical injury sustained by the purchaser or by any third party.
No other warranties, expressed or implied, as to the merchantability, performance or fitness, of the products for the intended use, are made by Spotter. This warranty shall only apply to material manufactured by Spotter.
Based on the customer’s purchase order, Spotter will process and ship all orders per the customer’s instruction. Spotter is not responsible for the mistakes or omissions made by the customer when ordering.
List prices and/or discounts are subject to change without notice. However, quoted prices will be honored for a period of 90 days from the date of the written quotation unless otherwise stated.
Entered orders may not be altered or cancelled without the prior written approval of Spotter and the customer may be responsible for any cancellation charges. However, we will strive to work with our customers to facilitate changes with minimal or no cost impact. Material may not be returned for credit without first advising us and obtaining an RMA number. Returned material may be subject to a 15% restocking charge and must be in resalable condition. Again, we will strive to restock returns with minimal or no cost impact when possible. All returned material shall be shipped prepaid. Custom orders are not refundable.
Any claims for material shortages/damages must be received by Spotter in writing within 10 days of shipment. All claims must be accompanied by copies of the packing slip. Then we will strive to resolve as quickly as possible!
Standard Terms of Payment are Net 30 Days. A service charge may be incurred on past due amounts. The amount of such charges will be 1% of the net balance which extends beyond terms.
